Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Monarkz website, platform and related services (the "Service"). By creating an account, purchasing a plan or using the Service, you agree to these Terms on behalf of yourself and the business you represent ("you", "Customer").

1. The Service

Monarkz is a software-as-a-service platform for WhatsApp marketing, automation, team inbox and customer relationship management. The Service connects to the WhatsApp Business Platform provided by Meta Platforms, Inc. ("Meta"). Monarkz is an independent company and is not owned or operated by Meta or WhatsApp.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You are responsible for your account credentials and for all activity under your account, including that of agents you invite.
  • You must provide accurate information and keep it up to date.

3. WhatsApp and Meta requirements

  • You must have, or create, a Meta Business account and WhatsApp Business Account, and accept Meta's applicable terms, including the WhatsApp Business Terms of Service, WhatsApp Business Messaging Policy and WhatsApp Commerce Policy.
  • You must obtain valid opt-in consent before messaging any person and honour opt-out requests promptly.
  • Meta decides template approvals, messaging limits, quality ratings, green-tick verification and account restrictions. Monarkz does not control these decisions and is not liable for them.
  • Meta may charge fees for certain conversations or messages. Unless your plan states otherwise, these fees are separate from your Monarkz subscription.

4. Plans, billing and renewal

  • Paid plans are billed in advance in US dollars for the billing period shown at purchase.
  • Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
  • The free trial lasts 7 days and includes the limits shown on our pricing page. We may limit trials to one per business.
  • Prices may change with at least 30 days' notice; changes apply from your next billing period.
  • Taxes are your responsibility, except taxes on our income.
  • Refunds are governed by our Refund Policy.

5. Acceptable use

You must comply with our Acceptable Use Policy. We may suspend or terminate accounts that violate it, that put the Service or our relationship with Meta at risk, or as required by Meta.

6. Customer Data

You own the data you upload or exchange through the Service ("Customer Data"). You grant us a limited licence to host, process and transmit Customer Data solely to provide and improve the Service. Our processing of personal data on your behalf is governed by our Data Processing Addendum, and our handling of personal information is described in our Privacy Policy. You are responsible for the lawfulness of Customer Data and for providing any notices and obtaining any consents required.

7. Intellectual property

The Service, including its software, design and content, is owned by Monarkz and its licensors. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, modify, reverse engineer, resell or create derivative works of the Service. Feedback you give us may be used without obligation.

8. Third-party services

The Service relies on and integrates with third-party services, including Meta/WhatsApp and payment providers. Your use of those services is governed by their terms, and we are not responsible for their availability or actions.

9. Availability and support

We aim to keep the Service available and to provide support during our business hours (Mon–Fri, 10 AM – 4 PM US Central Time). We may perform maintenance and update features. Availability may be affected by events outside our control, including outages of Meta or WhatsApp.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE MESSAGE DELIVERY, TEMPLATE APPROVAL, VERIFICATION OUTCOMES OR BUSINESS RESULTS.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MONARKZ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnity

You will defend and indemnify Monarkz against claims arising from your Customer Data, your messaging practices, your violation of these Terms or of Meta's policies, or your violation of applicable law.

13. Term and termination

These Terms apply while you use the Service. You may cancel at any time from your account or by contacting us. We may suspend or terminate the Service for breach, non-payment, or where required by law or by Meta. After termination you may request export of Customer Data for 30 days, after which we may delete it.

14. Governing law

These Terms are governed by the laws of the State of Missouri, USA, without regard to conflict-of-law rules. Courts located in Missouri have exclusive jurisdiction, unless applicable consumer law gives you the right to bring proceedings elsewhere.

15. Changes

We may update these Terms. We will post the updated Terms here and notify account holders of material changes. Continued use after changes take effect means you accept them.
